THE OPPORTUNITY AT HAND

Our fast-paced, high growth organization is seeking a motivated Corporate Counsel to join our team. The Corporate Counsel will assist with the company's corporate governance and internal compliance activities, advise on capital markets transactions, and negotiate strategic partnerships. This is an exciting opportunity for an attorney who wants a variety of challenging work and excellent hands-on experience at an innovative life sciences company.

OUR EXPECTATIONS OF YOU

• Draft and negotiate commercial agreements, including equipment purchase agreements, Software-as-a-Service agreements, vendor, supply and procurement agreements, and intellectual property licenses.
• Review promotional materials to ensure compliance with applicable medical device marketing requirements (including FDA and FTC).
• Support corporate governance matters, and contract management.
• Counsel the company on investor relations, capital raising activities and strategic partnerships as needed.
• Support internal treasury and audit functions.
• Support management of the company’s equity plan.
• Draft corporate resolutions and other materials for meetings of the board and committees.
• Participate in cross-functional teams to expand TMRW’s international footprint.
• Collaborate with business teams to address and resolve complex issues and review, negotiate, and draft a variety of agreements.
• Maintain an understanding of U.S. and international laws, rules and regulations applicable to a life sciences business.
• Develop policies and procedures to advance TMRW’s business objectives and oversee compliance initiatives.
• Coordinate with the human resources department on employment matters.
• Research and keep informed on legal developments in intellectual property, marketing and privacy law as well as medical device regulations.
  
  

What You'll Need To Succeed

• J.D. from an accredited U.S. law school
• Must be currently admitted to practice law in New York
• 3-4 years of in-house and law firm experience
• Experience in general corporate matters, capital raising, corporate organization, and securities compliance.
• Familiarity with privacy law, data security, intellectual property concepts and/or medical device marketing and regulation preferred.
• Detail orientated, highly organized, and strong analytical skills
• Strong oral and written communication skills
• Ability to work both independently and collaboratively in a team in complex, dynamic and fast paced environment.
• Comfort with technological terms and understanding of issues impacting medical device companies.
• Ability and willingness to take initiative to address problems and make process improvements

The annual base salary for this position is between $130,000 to $150,000 depending on experience and other qualifications of the successful candidate. ($65,000 - $75,000 for 6 month contract) This position is also eligible for TMRW’s equity incentive and discretionary annual bonus program based on performance and subject to the terms of TMRW’s applicable plans.
