How do you evaluate a consulting contract?

The scope sets the tone for the entire contract. It ensures you and the client fully understand expectations. Precise wording is essential to ensure you know what you're getting paid for and the clients know what they're getting.

Because the scope of work is defined and settled on at the start of a project, depending on the length of the project, it's common for the scope of work to change. Consultants should be sure to communicate upfront that changes in the project's scope will change timeline for deliverables, milestones, resources, and the fee. Consultants who charge hourly can easily bill the extra hours or add ons. Consultants who charge a flat fee for projects should have standard fees for additional time and resources.

Sometimes it makes sense to outline, the more structured and the more information the customer brings into the project, the easyer the consultant will be able to deliver his/her deliveries, and the cheaper the project will be!

If there is a schedule of payments (e.g. installments or similar) make it a part of the contract. Clarity breeds trust, plus if the client defaults and doesn't correct it, your invoices that are based on the contract will be basis for an executory proceeding.

Die Preis- und Zahlungsklausel ist eine Möglichkeit, Standardisierungen einzubauen, zu definieren, welche Zahlungsmittel akzeptiert werden und Möglichkeiten zu eröffnen für die Nutzung von Zahlungsdienstleistern und hierbei gleichzeitig die Kosten zu regeln. Es sollte immer auch eine Verzugsklausel beinhaltet sein. Zum einen können somit der Verzug und seine Folgen definiert werden, wie bspw. ein Zurückbehaltungsrecht, sogar ein Kündigungsrecht und zum anderen, deutlich gemacht werden, dass es eine preiserhaltende Einwendung gibt, sprich der Kunde, wenn er den Verzug schuldhaft herbeiführt, dennoch zahlen muss abzüglich ersparter Aufwendungen.

If your know-how is to be licensed to a client for instance (in case of train-the-trainer), use an NDA and a detailed description of know-how in order to best protect it and specifically license it.

Geistiges Eigentum und Schutzrechte müssen klar geregelt werden. Hierzu kann man sich Lizenzen bedienen und somit bspw. ein Nutzungsrecht einräumen aber eben kein Verwertungsrecht. Sprich, man kann ein Minus zum Vollrecht einräumen. Das ist erst recht wichtig bei einem Beratungsvertrag auch für jenen Bereich, der das Schutzniveau einer Lizenz nicht erreicht, wohl aber Know How ist. Hier müssen Risiken minimiert werden, dass Know How und IP an Dritte weitergegeben werden und hier können gleichzeitig Schutzmechanismen eingebaut werden, wie etwa eine Vertragsstrafe und ein pauschalierter Schadensersatz. Hier muss darauf geachtet werden, dass die Klauseln - es handelt sich insoweit oft um AGB - einer richterlichen Inhaltskontrolle standhalten.

As a legal professional/lawyer who is also a consultant, I would say that scope of work and liabilities are the key parts of the consultancy agreement. Scope defines what will be done, how, the frequency, duration, etc. The liabilities are actually a reflection of expectations - and very clearly show the client's pain-points and what he/she considers crucial. It's important to be very clear on what is acceptable for you here i.e. never allow liabilities to exceed the potential profit (the only exceptions are intent or gross negligence). Limit liabilities and always attempt to avoid indemnities because indemnification doesn't require causality and is most often unlimited. However, try and indemnify yourself for certain situations.

Eine Haftungsklausel birgt enorme Risiken. Hier können kleine Abweichungen zur Unwirksamkeit der gesamten Haftungsklausel führen. Hier sollte entlang der Rechtsprechung eine Haftungsklausel verwendet werden, die erprobtermaßen rechtmäßig ist und bereits richterlicher Inhaltskontrolle standgehalten hat. Wichtig ist auch zu prüfen, ob ein Mängelgewährleistungsrecht greift, etwa wenn es sich um einen Werkvertrag handelt. Auch hier kann man Gewährleistungsausschlüsse in einem gewissen zulässigen Rahmen vereinbaren. Schließlich kann auch eine Verjährungsverkürzung vereinbart werden. Auch hierzu gibt es eine deutliche Rechtsprechung.

Eine Kündigungsklausel ist eine gute Möglichkeit, Fälle zu definieren, in denen eine außerordentliche fristlose Kündigung möglich ist. Es ist auch die Gelegenheit, um bspw. für eine initiale Laufzeit der Zusammenarbeit in einem Retainer Modell die ordentliche Kündigung auszuschließen. Auch ist es aus Vertriebssicht eine super Möglichkeit, nicht jedes Mal den Kunden neu closen zu müssen, sondern mit einer sog. Evergreen Klausel eine automatische Vertragsverlängerung zu statuieren mit Möglichkeit der Kündigung. Hier gilt es die Höchstgrenzen nach der Rechtsprechung einzuhalten.

Termination, whether unilateral or mutual should be adapted to the kind and value of the contract. Renewal, however, should (almost) never be automatic - even if you can only see the up-sides of this, it's a better idea to just enable renewal and then renew a contract via an annex than make it automatic (as that's less under your control). Communication should be clear and addresses (including e-mails) defined in the contract. Notice periods, especially for unilateral terminations should be proportionate to contract duration, value and reason for termination.

It is possible to limit contractually what the potential reasons for a dispute can be. For instance, after defining scope of work or price or liabilities, the article regulating them or an article towards the end (final provisions, for instance) can also contain a mutual confirmation of the parties that they are unable to challenge the contract/dispute it based on its scope, duration, price, etc. This wouldn't exclude disputed due to intent or gross negligence, but would provide added clarity and certainty. If challenged, the party disputing such a stipulation would need to prove fallacy, fraudulent misrepresentation, or something similar.

Create a relationship with an excellent lawyer. You can also learn from past contracts. Also learn from your colleagues in terms of which pitfalls to avoid.
