Corporate Paralegal [Direct Hire - Remote]

Legal.io is working with a tech company seeking an experienced Corporate Paralegal for a full-time, direct hire position. This is a fully remote position.

This role needs strong entity management and corporate governance experience.

Responsibilities

• Support corporate governance efforts for 65 entities in 30+ countries, including file management and drafting of board minutes and materials, powers of attorney, intercompany agreements, and other corporate documents.
• Provide support for various subsidiary integration and wind-up initiatives as well as mergers and acquisitions.
• Serve as the primary point of contact for the broader legal team with respect to corporate information and documentation, ultimate beneficial owner/ultimate parent company designations, as well as signatory and corporate policy questions.
• Support various compliance initiatives, including our whistleblower program, related party screening, and corporate policies.
• Manage registered agent services and filings for 20 US subsidiaries across 85 jurisdictions.
• Manage the completion of customer vendor and supplier forms and gaming applications.
• Assist the finance department with bank account signer updates, statutory auditor reviews, and other financial & tax filings.
• Own and maintain internal and external corporate information reference documents.
• Lead the reorganization of our corporate books and other internal corporate folders.
• Lead the creation of a compliance calendar for global corporate governance to document and track compliance deadlines.
• Project manage to completion and with limited oversight diverse projects as requested, including directorship changes, power of attorney grants and revocations, share transfers, address changes, AML/KYC requests, and other corporate updates, changes, and requests as they arise.
• Assist with or lead ad hoc and special projects, as requested.

Qualifications

• 5 years prior corporate legal experience either at a law firm or in-house. Must hav a minimum of 2 years experience.
• Demonstrated experience managing a wide range of corporate legal matters.
• Experience managing corporate governance matters for 40+ US and international subsidiaries.
• Experience supporting a high volume of requests from a variety of subject matter experts across the business.
• Demonstrated ability to work effectively and efficiently on multiple projects in a busy work environment.
• Demonstrated successful project management & ownership of large corporate projects.
• Exceptionally strong sense of ownership and accountability over assigned projects and tasks.
• Top-notch attention to detail.
• Excited about working on a broad variety of corporate matters in a variety of jurisdictions.
• A practical, business-oriented approach to providing legal support and advice.
• Excellent oral and written communication skills.
