RoleandResponsibilitiesoftheFranchiseeandNirulasaresummarizedasbelow: TheFranchisee The Franchisee shall setup and operate various Food Outlets and Hotels of various modulesaspertheNirula'sspecificationsinmultiplelocationsinaspecifiedassigned trade area/ territory. Running of the Nirula's Food Outlets and Hotels includes the followingresponsibilities: Findingsuitablesitesforsettingup/openingNirula'sOutletsandHotels MakingtherequiredinvestmentsinsettingupoftheFoodOutletsandHotels OperatingthebusinessoftheFoodOutletsandHotelsundertheTradeNames ofNirula's PromotingsalesoftheOutletsandHotels Procuring all required licenses, permissions and sanctions for running of the outletsandHotelsandgettingthesamerenewed Bearing all Government/Statutory taxes and levies for the operations of the FoodOutletsandHotels Carrying day to day maintenance of the outlets, bearing all revenue and capitalexpenditures,upgrading,renovatingtheoutlets,etc
Collecting the sales money and making the timely payments to vendors, suppliers, staff, franchisor, statutory authorities and others for the smooth runningoftheoutlets Nirulas NirulasshallprovideitssupportandcooperationtotheFranchiseeinsettingupand operationoftheHotelsandFoodOutlets: Approving the sites for Hotels and Food Outlets. Providing/recommending qualified architects, designers, consultants and vendors for setting up of the Hotelsandoutlets. Supportinginprojectplanningandfinalizingtechnicalrequirements. Definingdesigningnormsandequipmentspecifications. DefiningHRpolicies,assistinginprocurement,trainingandinductingHuman Resources. OperationalandotherauditsoftheHotelsandoutlets. Conducting periodical review of the business and recommending business promotionplans. DefiningOperationalandotherguidelinesfortheoperationoftheHotelsand Outlets. PermissiontooperatetheHotelsandFoodOutletsundertheTradeNamesof Nirula's.
CompanymusthaveagoodfinancialtrackrecordandincaseoftheIndividual, he/sheshouldhaveasoundfinancialtrackrecord. It should have the ability to meet the financial obligations of setting up, running,andpromotingtheHotelsandfoodoutlets. PreferablythecompanyhavinganexperienceintheFoodBusinessandHotels oritspromotershavingexperienceinthesame. The preliminary object of the Company should be operating food business, Hotels preferable having an object clause in the Memorandum to take a FranchiseofNirula's. StrongcommitmenttowardsmanagingNirulasHotelsandFoodoutlets. AbilitytoprocurecommercialviablesitesforHotelsandFoodOutlets. StronglocalnetworkinGovernment,businessandfinancialcircleinterritory wheretheHotelsortheoutletsaretobeopened.

The Initial Franchise Fees mentioned hereinabove will be increased periodically. AtthetimeofsigningtheindividualLease/LicenseAgreementsfortaking the possession of the sites for the individual Hotels/Food Outlets or incaseofownedsitesatthetimeofpassingoftheproposalfortheHotel/ outletbytheFranchisor. A particular percentage of Net Sales as mentioned in Table C of AnnexureIwillbepaidasRoyaltytotheFranchisor.Netsalesshallmean thesalesmadefromeachofthedifferenttypesofHotelsandFranchised Outlet including home deliveries and all other sales but excluding Sales Tax/ValueAddedTaxes/suchothertaxesapplicableonthesales. The franchise shall reimburse all the expenses make by Nirulas for providing advisory, supervisory and technical services for setting up or running of the Hotels and Food Outlets and the expenses made by NirulasforinternalandexternalauditoftheHotelsandFoodOutlets. An escrow account to be opened with the same bank where the sales proceed of the Hotels/outlets are deposited on daily basis. The agreed amount shall be transferred to the same escrow account to be utilized onlyforthepurposeofrenovationoftheHotels/outlets. The Franchise is given for an initial period of 10 years with the sole option of renewal by Nirulas for further two terms of 5 years each. Nirulascanrenewthefranchiseforanyfurtherperiodaftertheexpiry ofabovesaid20years,onitssolediscretionanduponthepaymentof renewalfeesbytheFranchisee.
