    This agreement (the "Agreement") is entered into between M.R.

    Electronics, a company
    incorporated under the laws of Haryana/India, having its registered office at 3G/182 NIT
    Faridabad (the "Principal"), and [Name of Job Worker], a company incorporated under the
    laws of [State/Country], having its registered office at [Address] (the "Job Worker").
    WHEREAS:
    A. The Principal is engaged in the business of Manufacturing of LED Lights & Fan Regulators
    and wishes to engage the Job Worker for the manufacture or processing of goods using the
    raw materials or inputs provided by the Principal.
    B. The Job Worker has the necessary skills, expertise, and facilities to undertake the
    manufacturing or processing work as per the requirements of the Principal.
    NOW, THEREFORE, in consideration of the mutual covenants and agreements contained
    herein, the parties agree as follows:

    Scope of Work:
    1. The Principal will supply RoHS Solder, RoHS PCB, RoHS Capacitor, RoHS Wire as raw
    material as per the agreed specifications and quality standards to the job worker.

    And will provide the necessary inputs for the manufacture of goods .
    2. The job worker will prepare the goods using only the raw material given by the
    principal and will not do any kind of adulteration in it.

    3. By the principal, the quality of the finished goods can be checked by the third party
    at any time, in which if found guilty, legal action and financial penalty of 100000 will
    be imposed, for which a cheque whose number will be deposited with the principal
    as a security.

    Timelines: The Job Worker shall complete the manufacturing or processing work within the
    timelines specified in the Purchase Order or as agreed upon by the parties.
    Quality Standards: The Job Worker shall ensure that the goods manufactured or processed
    meet the quality standards specified by the Principal and shall promptly rectify any defects
    or issues identified by the Principal.
    Confidentiality: The parties agree to maintain the confidentiality of all information, data,
    and materials disclosed to each other in connection with this Agreement.
    Intellectual Property Rights: The Principal shall own all intellectual property rights in the
    goods manufactured or processed by the Job Worker under this Agreement, and the Job
    Worker shall not use or disclose any such intellectual property without the prior written
    consent of the Principal.
    Warranties: The Job Worker warrants that it has the necessary licenses, permits, and
    approvals to undertake the manufacturing or processing work and that the goods
    manufactured or processed shall be free from any defects or issues.
    Liability: The Job Worker shall be liable for any loss, damage, or injury caused to the
    Principal or any third party as a result of any act or omission of the Job Worker or its
    employees or agents.
    Termination: Either party may terminate this Agreement upon written notice to the other
    party if the other party breaches any material term of this Agreement and fails to cure such
    breach within a reasonable period.
    Governing Law and Jurisdiction: Any disputes arising out of or in connection with this
    Agreement shall be subject to the exclusive jurisdiction of the courts of Faridabad Haryana.
    IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first above
    written.
