The Hon''ble High Court of Madras vide its Order dt.3.7.2024 has decided on the jurisdiction issue and opined that Hon''ble NCLT is the appropriate forum to test the validity of the Board Meeting events of 30th April 2024.In view of the Order passed, the EGM dt.5.7.2024 for appointment of Shri Arvind Nandagopal stands cancelled and the fresh date will be announced after following due procedure.

Binny Ltd Promoters regain control of the company pursuant to Madras High Court order dated 3Jul24 wherein the applications filed against them dismissed. To fix the remuneration payable for Shri Arvind Nandagopal as Managing Director of the Company4. Any other business that may be taken up by the Board

The resignation of Shri M.Nandagopal (DIN:00058710) as Whole-time Director, designated as Executive Chairman of the Company with effect from the close of business hours on June 01, 2024 was considered and approved by the Board in the Board Meeting held on 3.6.24. Wrong update done by Mr Arvind Nandagopal, former Managing Director of Binny Ltd by hacking the user ID and password of Binny BSE login to destabilize the company. It is corrected with this update. Mr M Nandagopal, Chairman & Managing Director appointed by shareholders in their general meeting for 5 years from Sep 23 did not resign and continue to occupy the position. Company is taking legal action against Mr Arvind for this false propaganda. Chairman and MD letter attached.
