This is furtherance to various disclosures made by the Company in relation to Scheme of Arrangement between Oriental Carbon & Chemicals Limited and OCCL Limited and its Shareholders and Creditors under Section 230 to 232 and other applicable provisions of the Companies Act, 2023 (Scheme'').We would like to inform you that the Scheme has been effective from today i.e. 1 July 2024. Kindly note that in terms of provisions of the Scheme, the appointed date of the Scheme is 1 July 2024.

Oil India and Vertoz Advertising, among other companies, are set to be in the spotlight this week as they near their record dates for bonus issues, stock splits, buybacks, and demergers. The record date, determined by each company, determines eligibility for these corporate actions, requiring shares to be held in a Demat account on that date to qualify.

We would like to inform you that pursuant to the applicable provisions of Listing Regulations, Companies Act, 2013 and Scheme, the Company in consultation with the Resulting Company has mutually fixed 1 July 2024 as Record Date for the purpose of determining the shareholders of the Company who would be allotted the equity shares of the Resulting Company pursuant to the Scheme.

This is to inform you that the 44th AGM of the Company scheduled to be held on July 30, 2024. Pursuant to Section 91 of the Companies Act, 2013 and Regulation 42 of SEBI LODR, 2015, the Register of Members and Share Transfer Book of the Company will remain closed from July 24, 2024 to July 30, 2024 (both days inclusive) for the purpose of ascertaining the eligibility of the shareholders for the Final Dividend for the year ended March 31, 2024 @Rs.7/- per equity Share, to be declared at the 44th AGM of the Company.

This is in continuation to our intimation dated 29 May 2024 in connection with the Scheme of Arrangement between the Company and OCCL Limited("Resulting Company" or "OCCL" and their respective shareholders and Creditors.We would like to inform you that, today i.e. 3 June 2024, the Company has received the certified copy of Order dated 27 May 2024 passed by the Hon''ble National Company Law Appellate Tribunal (NCLAT), allowed the appeal filed by the Company and has held that the Appointed date of the Scheme is the effective date as mentioned in the Scheme. A copy of the said Order is attached for your ready reference.

The Hon''ble NCLAT vide its order dated 27th May 2024 allowed the appeal filed by the Company and held that the Appointed Date of the scheme is the Effective Date as mentioned in the Scheme. An authenticated copy of the said order passed by the Hon''ble NCLAT is attached for your ready reference.

Pursuant to Regulation 24A SEBI(LODR)Regulations, 2015, we are enclosing herewith the Annual Secretarial Compliance Report for the financial year ended March 31, 2024.

We would like to inform you that the Hon''ble NCLT, Ahmedabad Bench vide its order dated 10th April 2024 has sanctioned the Scheme.In terms of NCLT Order, the Hon''ble NCLT has suo motu amended the Appointed Date to be the pronouncement of the NCLT Order.In view of aforesaid, the Company is in process of evaluating the overall impact of the aforesaid order and will communicate the Stock Exchanges further course of action to be adopted.

Recently, a promoter of a tyre company in a lighter vein mentioned that one of the parts which ICE vehicles and Electric vehicles have in common is tyres. While it might appear to be an obvious statement , over the years, if one looks at the way tyre stocks have performed it has been much better than what it used to be, the cyclicality has gone away and there has been a re-rating. Now if tyre stocks are doing well then the companies which are supplying raw material to tyre companies are also witnessing tail winds. These are B2B players which are into manufacturing carbon black and because they are not consumer facing businesses, these companies don't come into the limelight even when they are doing well.

So, the companies which are supplying raw material to tyre companies are also witnessing tail winds. These are B2B players which are into manufacturing carbon black and because they are not consumer facing businesses, these companies don't come into the limelight even when they are doing well.
